Please review these Terms and Conditions ("Terms") thoroughly before you access or utilize the Myma App or Myma Meals Pvt. Ltd. (referred to as the "Platform"). These Terms, in conjunction with the Privacy Policy accessible on the Platform ("Privacy Policy") and any other policies that may be communicated or displayed on the Platform, collectively form the contractual agreement between the Platform's users and the Company (collectively referred to as the "Agreement"). When you use the Platform, you are expressing your consent to abide by the terms and conditions set forth in this Agreement, as they may be updated or posted on the Platform periodically.

MODIFICATION OF TERMS

Users can access the latest version of this Agreement at any time on the Myma Website. The Company retains the unilateral right to update, modify, or replace any portion of this Agreement by posting updates or revisions on the Platform. These revised terms and conditions become effective immediately upon their publication on the Platform.

Users are responsible for regularly reviewing this page for any updates or changes. The continued use of or access to the Myma Application after the posting of any modifications signifies the User's acceptance of these changes.

This revised section emphasizes the Company's right to modify the Agreement and the User's responsibility to stay informed about any changes and accept them by continued use of the Myma Application.

INTRODUCTION

Myma is a multi-faceted application that provides various services, including food delivery, a marketplace, and a dine-out experience. The Myma mobile application ("Application") serves as a platform where Users can access these services. This platform connects registered Suppliers, predominantly women, including homemakers and small businesswomen, with Users. The Application is designed to facilitate the delivery of home-cooked meals, offer a marketplace for homemade products, and provide access to dine-out experiences.

The Application, along with the website at www.myma.in ("Website"), collectively referred to as the "Platform," is owned and operated by [Myma Meals Pvt. Ltd. ("Company").

The Company's role is primarily to manage the Application, oversee associated marketing efforts, facilitate payment collections, manage order fulfillment, handle inquiries, and provide other related services. These services are essential to enable transactions between Suppliers and Users. Please note that these Services are exclusively available through the Application and not accessible via the Website.

These revised sections provide an overview of Myma Platform, its services, and the Company's role in operating the platform.

1. Applicability to Users

The terms and conditions outlined in this Agreement ("Agreement") are applicable to any individual who installs, downloads, visits, or accesses any part of the Myma Platform ("Platform") or utilizes its Services. These individuals are collectively referred to as "Users." The term "Users" encompasses various categories, including but not limited to browsers, Suppliers, Resellers, Merchants, other purchasers, or contributors of content.

The Agreement between a User and the Company becomes effective on the date when the Myma Application is downloaded, the Website is accessed, and/or when the terms of the Agreement are updated. This action establishes a legally binding agreement between the User and the Company.

This revised section clarifies the applicability of the Agreement to Users and specifies when it becomes legally binding between the User and the Company.

2. Non-Acceptance of Agreement

If the User finds the terms of this Agreement unacceptable, it is recommended that the User refrain from using the Myma Platform. By utilizing the Services, the User indicates their agreement to adhere to the terms of this Agreement, including any updates made from time to time.

USE OF THE PLATFORM

1. Platform Accessibility and Limitations Explained

Myma Meals Pvt. Ltd. is committed to providing you access to our platform 24/7. However, it's important to understand that we cannot guarantee uninterrupted service, and occasional errors or the presence of viruses might occur. We strive to maintain a smooth user experience, but please be aware of these possibilities.

When using our platform, you are responsible for the costs associated with your internet and mobile phone usage. These expenses are not covered by Myma Platform.

While we make every effort to ensure compatibility, we cannot guarantee that our platform will seamlessly work with all devices and software. Keeping your devices and software up to date is advisable for the best experience.

Our platform undergoes regular updates to enhance features and security. During these updates, some functions may be temporarily unavailable. Our platform is provided "as-is," and we do not provide warranties regarding continuous operation.

Myma Platform is not liable for any data loss or damage to your systems resulting from downloading content from our platform. Regularly backing up your data is a good practice.

Please note that any information or guidance you receive from Myma Platform, whether written or oral, does not constitute a warranty unless explicitly stated otherwise. While we aim to provide accurate and helpful information, it's essential to verify and make decisions based on your specific circumstances.

2. Company's Role and Guarantees Clarified

Myma Meals Pvt. Ltd. operates as a facilitator, connecting Suppliers and Users through our platform. However, we don't guarantee the performance of any agreement or transaction between Users or other parties concerning products on our platform. Any contract formed through User Transactions is solely between the parties involved.

We do not guarantee that Suppliers will fulfill transactions made on the platform, and we are not responsible for mediating or resolving disputes between Users or third parties.

Please be aware that Myma Meals Pvt. Ltd. does not represent any Users or Suppliers, and we do not accept liability for any errors or inconsistencies in the information displayed on our platform regarding these parties.

We do not verify the specifics of items, such as legal title or identity, for any Users. Myma Platform is not responsible for any misuse of information shared by Users on our platform, in chat rooms, forums, or comments, or with third parties.

Myma Platform does not act as an arbitrator or judge for property-related disputes and cannot verify whether a Supplier has the right to sell their products. We encourage Users to help us identify any listings on our platform that may infringe on their rights or the rights of third parties.

At no point in any transaction between a Supplier and a User does Myma Platform take possession of any offered products, nor do we gain title or rights to these products. We have no claims over such products, nor do we assume any obligations or liabilities related to contracts formed between Users. Myma Platform is not responsible for damages or delays due to products that are out of stock, unavailable, or back-ordered.

3. User Restrictions and Compliance Guidelines

1. Users are strictly prohibited from using the Platform for any of the following purposes:

Sharing information that doesn't belong to them or that they have no right to use.

Posting offensive, harmful, or illegal content, including but not limited to defamatory, obscene, or racially offensive material.

Harassing or promoting harassment of others.

Violating the rights of third parties, including intellectual property rights and privacy.

Promoting or participating in any illegal activities.

Interfering with other Users' enjoyment of the Platform or engaging in any activity that harms Myma Platform or any other party.

Referring to any websites or URLs that contain inappropriate material or content that violates our terms.

Violating any applicable laws, rules, or regulations.

2. When using the Platform and availing the Services, Users must adhere to the following requirements:

Submit truthful, lawful, and accurate registration information.

Use the Application for personal purposes only and not authorize others to use their account.

Do not post, upload, or distribute offensive, harmful, or illegal content.

Ensure ownership of all necessary licenses, consents, and permissions for any content shared on the Platform.

Do not engage in unlawful activities or activities that harm Myma Platform or others.

Do not upload any software or files that contain viruses or harmful components.

Do not impersonate other individuals or entities.

Do not delete or modify any content on the Platform.

Do not post obscene, offensive, or discriminatory content.

Do not access the Platform without authorization or attempt to breach its security measures.

Comply with all applicable laws and regulations, including the Information Technology Act, 2000 and other relevant laws and tax regulations.

Grant Myma Platforma non-exclusive right to use the information provided by Users for the purposes outlined in this Agreement.

3. Security

Users are also reminded that Myma Platform reserves the right to disable any user identification code or password if a User fails to comply with any provisions of this Agreement. Myma Platform retains the right to take necessary action and seek damages for any involvement or participation, whether intentional or unintentional, in hacking or other unauthorized activities.

Users should always abide by these guidelines and comply with applicable laws when using the Platform and its services.

4. Fair Usage Policy

At our platform, we are committed to providing the best possible experience for all our customers. To ensure that our platform is used in good faith by all customers, we monitor customer behavior, including order history and how our platform is used.

If we detect any misuse of our platform or violations of our policies, such as excessive returns, refusals to accept shipments, indications of fraudulent or suspicious activity, or any association with such activities, including metrics like high claim rates or return rates compared to the average user, we may take certain actions. These actions may include, but are not limited to:

Blocking a user from making transactions on the Platform.

Applying service fees.

Blocking refund claims.

Restricting or refusing product returns.

Customers who have profiles indicating a high volume of valid transactions on the platform may also be eligible for benefits offered by suppliers based on their discretion and policies.

We believe in fairness and transparency in platform usage, and these measures are in place to ensure a positive experience for all users.

ACCOUNT REGISTRATION, SUSPENSION AND TERMINATION

1. Account Creation Requirement

Users are required to register and create an account to access and use the Services on the Myma Platform Membership, specifically for buying or selling products, is granted upon registration, subject to the terms of this Agreement, and is strictly non-transferable.

2. User Eligibility

To use the Platform's Services, a User must be legally eligible to form binding contracts under the Indian Contract Act, 1872, and must be at least eighteen (18) years old.

The Company retains the right to terminate a User's account and/or deny access to the Platform if it comes to the Company's attention, or if it is determined that the User does not meet the specified conditions. By accessing or using the Platform, Users affirm that they have the right to do so.

3. Account Registration Requirements

To register on the Platform, Users must provide a valid phone number. By registering, Users agree to receive communications from the Company via phone calls, SMS notifications, instant messages, or similar means, including subscription updates, service notifications, and promotional content. Users have the option to 'opt out' of such communications through provided means or by contacting our support team.

Users must ensure that they provide a correct mobile number for SMS communication. If the Company sends an SMS that Users do not receive due to an incorrect or outdated mobile number, or if it's blocked by the User's service provider, the Company is considered to have effectively communicated the message.

Users are responsible for supplying accurate, up-to-date, and complete information during registration and for keeping this information current.

4. Suspension or Termination of User Accounts

The Company retains the right, without prior notice, to suspend or terminate a User's account or access to Services on the Application. This includes the blocking of any amounts owed to the User and associated account. Users are accountable for all outstanding amounts up to and including the termination date if any of the following conditions occur:

- Any information provided during registration or afterward is discovered to be inaccurate, outdated, or incomplete.

- In the Company's evaluation, the User has:

Delivers any expired, stale, harmful food product.

Charged unreasonably high prices.

Initiated an excessive number of returns and/or cancellations.

Engaged in unlawful, fraudulent, negligent, or derogatory actions detrimental to the Company's interests.

Failed or is suspected of failing to adhere to any term or provision of the Agreement or applicable law.

- User is found to be non-compliant with the Agreement.

- Furthermore, when a violation of the Agreement results in criminal or civil action, the Company may, at its sole discretion, pursue such action.

- Without prejudice to the Company's rights mentioned above, if User is suspected of fraud or any other breach of this Agreement, the Company may:

Withhold all amounts owed to the User.

Impose reasonable penalties, which will be deducted from the monies payable to the User by the Company.

5. User Responsibilities Regarding Registered Accounts on the Platform

By having an account on the Platform, the User confirms that all activities conducted under their account are genuine and that any transactions made are intended for legitimate sale or consumption within their business operations.

The User is solely responsible for all actions taken under their account. The Company bears no liability for such actions. Therefore, it is the User's duty to maintain the confidentiality of their user identification code, password, and any other provided security information. These details should not be disclosed to any entity other than the Company.

The User acknowledges that having an account on the Platform does not grant them rights beyond those explicitly provided by the Company. They have no ownership or other interests in the account, which remains the sole property of the Company.

Upon registration, Users may receive a password-protected account and an identification code. Users agree to:

Safeguard the confidentiality of their password, if applicable.

Assume full responsibility for all activities conducted through their account.

Promptly report any unauthorized account use or security breaches.

Ensure they log out of their account after each session.

PLACING ORDERS AND FINANCIAL TERMS

1. How Order Placement Works on the Platform

The Application enables Users to initiate orders for products listed by Suppliers. The Platform facilitates these order placements, subject to the terms outlined in this Agreement.

Upon receiving a User's order, the Company electronically sends an order confirmation to both the Supplier and the User. Additionally, the Company may notify the User of any changes in availability, unavailability, or price adjustments for the order, as communicated by the Supplier. The confirmation provided by the Supplier is considered final.

It's important to note that the Company does not possess, sell, or resell any products independently. The Company does not exert control over Suppliers but serves as a mediator between customers and Suppliers. The Company diligently updates User accounts and related information to facilitate transaction completion. Therefore, Users must ensure that their purchase and account details are current, complete, and accurate for all transactions conducted on the Application.

The Supplier bears the responsibility of fulfilling orders for their customers. Any supplementary services offered by the Platform in relation to these orders are provided solely as a service provider on behalf of the Supplier. Consequently, the Platform does not establish a direct contractual relationship with customers.

2. How Commercial Terms are Established on the Application

All commercial and contractual terms of sale are proposed by Suppliers and exclusively agreed upon between Suppliers and Users. These terms encompass various aspects, including but not limited to price, delivery date, delivery mode, product warranties, and more. The Company neither exercises control nor participates in the formulation, recommendation, or intervention of such commercial or contractual terms between Suppliers and Customers.

Likewise, when Suppliers utilize the Platform for deliveries, the Platform functions solely as a service provider for the Supplier, facilitating delivery services and related activities for an order. The Company does not exert control over, determine, provide advice on, or involve itself in any capacity in the offering or acceptance of commercial or contractual terms between the Supplier and their Customer.

Policies pertaining to returns, exchanges, penalties, refunds, and cancellations will be periodically updated within the Application. The Company reserves the right to modify these policies within the Application without requiring explicit consent from Users.

3. Payment Services

Users acknowledge, understand, and agree that the payment service offered by the Company is not a banking or financial service. Instead, it serves as a facilitator that utilizes a third-party payment processor for transactions on the Application. Furthermore, in providing this payment service, the Company is not assuming the role of a trustee or operating in a fiduciary capacity concerning the transaction or transaction price. Users should note that the Company will not be held responsible for any charges imposed by the User's bank related to the payment of the total amount.

4. Information Sharing and Taxes

In the course of processing any order, various details such as the User's name, transaction specifics, device type, Platform usage particulars, PAN number, payment data, billing address, credit card information, and related information may need to be furnished to either the Company or a third-party payment processor. If Users are directed to a third-party payment processor, they may be subject to that third party's terms and conditions governing the use of their service and their practices for collecting personal information. Users are encouraged to review such terms and conditions and privacy policies before using the Application.

In cases where a Supplier provides billing information, delivery addresses, or other contact details of its customer to the Company or another delivery service provider, the Supplier must ensure that it has obtained the necessary consents and approvals from the respective customer, as required under applicable law.

It is essential to note that the Company serves solely as a payment collection agent on behalf of the Supplier or Merchant, as applicable. All applicable taxes and levies, including their rates and the method of their application, are the responsibility of the Supplier. The Company does not assume liability for the legal accuracy or validity of such tax levies. The sole responsibility regarding any legal issues arising from the taxes payable rests with the Supplier.

The transaction is a direct agreement between Suppliers & Customers ("User Transactions"). The Company is not responsible for collecting or remitting any taxes applicable to such transactions.

5. Updating Bank Account Details

Users have the option to provide their bank account details for receiving refunds, margins, referrals, and any other payments owed to them by Myma Platform. However, there are specific conditions governing the updating of bank account details:

Users cannot edit or update their bank account details if the bank details provided are valid and there are no pending payments from Myma Platform.

Users cannot edit or update their bank account details if there is a pending transaction currently being processed to the existing bank account.

Users cannot edit or update their bank account details if the new account number being inserted is already associated with another User's account.

6. Prices and Payment

All prices listed on the Myma App and/or Website for food are accurate at the time of publication. While Myma Platform makes every effort to keep them updated, we reserve the right to modify the food menu, food prices, and food delivery options, if available.

Users acknowledge that in the event of a price change, Myma Platform and its employees shall not be held liable in any way.

The complete price for a meal, inclusive of all additional charges, taxes, and any associated costs, will be presented on the Myma Platform App and/or Website when you confirm your order.

Myma Platform will credit the payment for your order directly to your specified bank account through the payment gateway, typically within 5-7 business days from the order payment date. Delays may occur on bank holidays.

Currently, the Myma Platform does not impose any commissions on orders. However, charges from the online payment gateway and platform usage fee are deducted from each order.

CANCELLATION & REFUND POLICY

Please note that any capitalized terms used but not defined herein shall have the meanings assigned to them under the Terms of Use, which govern your use of the Myma Platform.

You acknowledge that:

As a general rule, customers shall not be entitled to cancel Order once placed. Customers may choose to cancel Order only within five-minutes of the Order being placed. However, subject to Customer’s previous cancellation history, Myma Platform reserves the right to deny any refund to Customer pursuant to a cancellation initiated by Customer even if the same is within one-minute followed by suspension of account, as may be necessary in the sole discretion of Myma Platform.

Order Acceptance and Cancellation

There may be instances where Supplier is unable to accept your order or cancels the order for reasons, including but not limited to technical errors, unavailability of ordered items, or other factors attributable to Myma Platform, the Supplier, or the Delivery Partner. In such cases, Myma Platform will not impose a cancellation charge on you.

If an order is canceled after payment has been charged and you are eligible for a refund of the order value or a portion thereof, the refunded amount will be reversed to your account in 7 to 15 business days.

Resolution with Supplier

Yearly Subscription Fee: The subscription fee covers the usage of our platform and services. Please note that this fee is non-refundable and non-transferable.

Yearly Subscription Fee

The subscription fee associated with the annual usage of our platform and services is hereby declared as non-refundable and non-transferable. By initiating a subscription, users acknowledge and consent to the full payment of the annual fee, which is mandated for the access and utilization of the platform’s offerings. Under no circumstances shall this fee be eligible for refund or transfer to another party.

Complaints and Proof

In the event of a complaint concerning the order, including instances such as food spillage, delivery of incorrect orders, subpar quality, or other issues, you must provide proof of the issue before any resolution can be offered.

Non-Compliance with Instructions

You are not entitled to a refund if the instructions provided with the order are not followed precisely as you intended. Instructions are followed by the Suppliers on a best-efforts basis.

Refund Process

All refunds will be processed using the same method as they were received and the refund amount will be reflected in 8-15 business days of your account based on the policies of the respective banks.

Orders placed are generally non-cancellable and non-refundable. However, refunds may be requested under the following conditions:

If the order could not be delivered.

If the order has not been picked up by the delivery partner or Customer.

If the Supplier doesn't accept or cancels the order due to reasons not attributable to the Customer, including but not limited to store closure, non-availability of items, inability to service online orders, overcrowding, etc.

If the order is canceled by Myma Platform due to reasons not attributable to the Customer.

Myma Platform reserves the right to review cancellation requests from Customers and determine if they fall under the conditions mentioned above. If Myma Platform is satisfied that the request meets these conditions, Myma Platform will process the cancellation request and refund the appropriate amounts to the Customer.

Cancellation and Refund

FOOD SERVICE

For Customer,

When a customer initiates the cancellation process within the first 5 minutes of placing their order, they are entitled to a full refund, amounting to 100% of the total payment made.

If a customer chooses to cancel their order after this initial 5-minute window has elapsed but before the food preparation has commenced, they can still receive a refund, albeit at a reduced rate of 90% of the total amount paid.

On the contrary, if a customer decides to cancel the order after both 5 minutes have passed and the food preparation process has started, no refund will be issued.

In cases where the Supplier, rejects or cancels the order, the customer is eligible for a complete refund, again totaling 100% of the payment made.

If the delivery partner cancels the order, the customer is entitled to a 100% refund of the amount paid.

For Supplier,

When Supplier successfully completes an order, the supplier receives 95% of the order amount as payment, and no penalties are imposed. 5% of the order amount is charged from every order by the Online Payment Gateway.

If Supplier neither accepts an order or rejects an order, resulting in it remaining unprocessed, no payment is issued to Myma for that specific order. However, a penalty of ₹10 per order is applied.

In instances where Supplier opts to cancel an order before the specified preparation time begins, supplier is not charged for the order, but a penalty of ₹50 per order is enforced;

If the Supplier cancels an order after the preparation time has commenced, no payment is made to Myma, and a more substantial penalty of ₹100 per order is levied.

When a customer decides to cancel an order after the food has already been prepared, Supplier is eligible to receive 75% of the order amount as a refund, and no penalties are applicable in this situation.

In cases where the delivery partner cancels an order, Supplier receives 95% of the order amount and no penalties are associated with this particular scenario.

MARKETPLACE PRODUCTS

For Customer,

When a customer decides to cancel their order on the same day before 11.59 PM, they are entitled to a full refund, amounting to 100% of the total payment made for the order.

Conversely, if a customer chooses to cancel the order on the next day from 12.00 AM onwards, no refund is issued in this case.

When the Supplier rejects or cancels the order for any reason, the customer is eligible for a complete refund, totaling 100% of the payment made.

Likewise, if the delivery partner cancels the order, the customer is entitled to a 100% refund of the amount paid for the order.

For Supplier,

Supplier successfully fulfills an order, supplier receives 95% of the order amount as payment, and no penalties are incurred. 5% of the order amount is charged from every order by the Online Payment Gateway.

However, if Supplier does not accept or reject an order, resulting in it remaining unprocessed, there is no payment made to Supplier for that specific order. Instead, a penalty of ₹10 per order is applied to Myma in such cases.

If Supplier accepts an order but subsequently cancels it, no payment is made to Myma for that order, and a penalty of ₹100 per order is imposed.

In situations where a customer opts to cancel their order on the following day, Supplier is entitled to receive a 50% payment of the order amount, and no penalties apply in this case.

Similarly, when the delivery partner cancels the order, suppliers are reimbursed with 95% of the order amount, and no penalties are associated with this specific scenario.

DINEOUT SERVICES

For Customer,

If a customer decides to cancel their order within the initial 5 minutes of placing it, they are entitled to receive a full refund, equating to 100% of the total payment made for the order.

If customers choose to cancel their order after the first 5 minutes but before the food preparation process has commenced, a refund is still applicable, albeit at a reduced rate of 90% of the total amount paid.

However, if a customer cancels an order after both 5 minutes have passed and the food preparation process has already started, no refund is issued in this case.

In scenarios where the Supplier rejects or cancels the order, customers are eligible for a complete refund, totaling 100% of the payment made for the order.

For Supplier,

When a Supplier successfully delivers the service as requested, they are eligible to receive 95% of the order amount as payment, and no penalties are incurred. 5% of the order amount is charged from every order by the Online Payment Gateway.

In cases where Supplier does not accept or reject an order or service request, causing the request to remain unprocessed, no payment is issued to Supplier for that specific order. Instead, a penalty of ₹10 per order is imposed.

If the Supplier accepts an order but subsequently decides to cancel it before the specified preparation time commences, no payment is made to Myma for that order, but a penalty of ₹50 per order is applied.

Similarly, if Supplier cancels an order after the mentioned preparation time has begun, no payment is received by Supplier for the order, and a more substantial penalty of ₹100 per order is levied.

On the customer's side, if they opt to cancel an order after the Supplier has initiated the preparation process, they are entitled to receive a refund equal to 75% of the order amount, and no penalties are associated with this scenario.

REFUND

Refund amounts will be credited to the Customer’s account in accordance with the chosen payment mechanism, with an estimated timeline of 7-15 business days.

These policies serve to provide clear guidelines for payment, order cancellation, and penalties within the all services available on Myma Platform, ensuring transparency and fairness in transactions involving suppliers and customers.

DELIVERY & SHIPPING POLICIES

DELIVERY & SHIPPING SERVICE

Myma App is not a delivery or shipping platform. We partner with third-party services, such as Dunzo and Shiprocket, to handle delivery and shipping on our behalf. Once a parcel is picked up by these third-party services, Myma App is not responsible for any issues that may occur during delivery.

SERVICE AREA

Myma App currently serves India. Please check our app to confirm if your location is within our delivery range.

ORDER PLACEMENT

Orders can be placed through the Myma App. Once an order is confirmed, it cannot be modified.

ESTIMATED DELIVERY TIME

The estimated delivery time for each order will be displayed at the time of checkout. This time frame may vary based on the supplier's location, food preparation time, and order volume.

DELIVERY CHARGES

Delivery charges are determined and applied by the third-party delivery service based on the distance, weight, and size of the parcel as specified by the supplier and customer in the app. A standard delivery fee will be applied to each order and will be clearly displayed during the checkout process.

REAL-TIME TRACKING

Once your order is out for delivery, you can track its progress in real-time through the Myma App.

RECIPIENT AVAILABILITY

It is the customer's responsibility to ensure someone is available to receive the order at the delivery address. If no one is available, our delivery personnel will attempt to contact you. If delivery is unsuccessful after two attempts, the order may be canceled, and a refund will not be issued.

DELIVERY ADDRESS

Customers must provide accurate delivery information. Myma App is not responsible for orders delivered to incorrect or incomplete addresses provided by the customer.

UNEXPECTED DELAYS

1. FSSAI Registration

Myma Platform acknowledges the importance of FSSAI (Food Safety and Standards Authority of India) registration for all Myma Supplier (FBO) users who are engaged in preparing and selling food through our platform.

As per FSSAI regulations, all Myma Supplier (FBO) users must possess a valid FSSAI registration/license to sell food. This registration is crucial to ensure food safety, hygiene, and compliance with the applicable laws and standards.

Myma Supplier (FBO) users are responsible for obtaining and maintaining their FSSAI registration/license throughout their association with Myma Platform In case your FSSAI registration/license expires or gets suspended, it is your obligation to promptly notify Myma Platform of this status.

Please be aware that Myma Platform reserves the right to suspend or terminate the accounts of Myma Supplier (FBO) users who do not possess a valid and current FSSAI registration/license as required by law. We take this measure to ensure the safety and well-being of our customers and to comply with regulatory mandates.

By using the Myma Platform, you confirm your compliance with FSSAI regulations and agree to provide any necessary documentation related to your FSSAI registration/license upon our request. Myma Platform may also share these documents with third-party entities as required to facilitate FSSAI registration/license processes.

Your adherence to FSSAI registration guidelines is essential to maintaining the integrity of our platform and ensuring the safety of the food products offered through Myma Platform.

2. FSSAI License Requirement

If you plan to sell packed food products under your brand name on the Myma App, a valid FSSAI (Food Safety and Standards Authority of India) license is mandatory. This ensures compliance with food safety regulations.

You must obtain and maintain this license, and it's your responsibility to keep it current. Failure to do so may result in the suspension or termination of your Myma Supplier (FBO) account.

By using the Myma Platform, you agree to comply with FSSAI regulations and provide necessary documentation when requested. We may share these documents with third parties for FSSAI licensing purposes.

Ensuring your FSSAI license is up to date is crucial for regulatory compliance and maintaining customer trust and safety.

3 GST Registration

The Company is not responsible for any direct or indirect tax obligations that may arise for the User due to their access or use of the Services on the Platform. The User, including the supplier, bears the sole responsibility for registration and compliance with GST Laws and other tax regulations. The Company shall not be held liable for any violations or non-compliance by Users with any applicable laws. Therefore, it is strongly advised that Users seek independent tax advice regarding their business and transactions on the Platform, including whether GST registration is required.

It's your responsibility to obtain and maintain this registration. Failure to do so may lead to account suspension or termination on the Myma Platform.

By using Myma Platform, you agree to adhere to GST regulations and provide the necessary GST details when requested. We may share this information with third parties for GST compliance purposes.

Ensuring your GST registration is current is vital for both legal compliance and seamless business operations.

ACCURACY AND COMPLETENESS OF INFORMATION

1. Accuracy and Completeness of All Information Displayed on the Platform

We take every effort to maintain the accuracy of the information displayed on the Platform. However, please note that the material and content provided on the Platform are for general informational purposes only. It's important to understand that the majority of the content, including product listings, on the Platform is provided by our Suppliers. They are responsible for the accuracy of the information related to their listed products. While we conduct reasonable checks to ensure the overall quality of the Platform, we do not exert control over this content.

We do not have an obligation to update or amend information on the Platform, including pricing details, unless required by law. Users should be aware that any reliance on the material on the Platform is at their own risk.

The Platform may contain historical information, which is not current and is provided for reference purposes. We reserve the right to modify the Platform's contents at any time, although we are not obligated to update all information.

Occasionally, there may be typographical errors, inaccuracies, or omissions in the information on the Platform, such as product details, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct these errors, inaccuracies, or omissions and to change or update information without prior notice.

It comes without warranties of performance, merchantability, or fitness for a particular purpose. This Agreement does not substitute for the User's independent investigations and sound technical and business judgment.

2. Information Related to Products on the Platform

Not all information on the Platform is provided by the Company. Suppliers, who are Users themselves, also contribute information about the products they intend to sell. These Suppliers are responsible for the accuracy of the information they provide. It's important to note that Suppliers should refrain from exaggerating or overemphasizing the attributes of their products in a way that might mislead other Users.

While the Company has the right to monitor the materials posted on the Platform, it is not obligated to do so. The Company may, at its discretion, remove or edit any content that violates applicable laws or the spirit of these Terms. However, the Company does not assume responsibility or liability for any content posted, and it is not responsible for any claims, damages, or losses resulting from the use of content on the Platform.

Suppliers bear sole responsibility for the accuracy of product details, including quality, value, and saleability. The Company neither implicitly nor explicitly endorses the sale or purchase of any products on the Platform, and it does not provide any warranties or guarantees for the products sold. Additionally, the Company does not represent or warrant that the information available on the Platform will always be correct, accurate, or reliable.

The Company cannot be held responsible for any inaccuracies, incompleteness, or outdated information provided on the Application, whether it comes from Users or Suppliers.

LISTING AND SELLING

1. Additional Terms for Suppliers

As a Supplier using the platform, you are not only bound by this Agreement but also by various applicable laws of India. These laws include:

The Legal Metrology Act, 2009, and Legal Metrology (Packaged Commodities) Rules, 2011 (Packaging Rules).

The Drugs and Cosmetics Act, 1940, and Drugs and Cosmetics Rules, 1945 (D&C Rules).

The Consumer Protection (E-Commerce) Rules, 2020.

The Food Safety and Standard Act, 2006, along with various regulations under it, such as Food Safety and Standard (Packaging and Labeling) Regulation 2011 (FSS Packaging Regulation), Food Safety and Standard (Food Product Standard and Food Additive) Regulation, 2011 (FSS Standard Regulations), and Food Safety and Standard (Food or Health Supplements, Nutraceuticals, Food for Special Medical Purpose, Functional Food, and Novel Food) Regulation 2016 (FSS Supplement Regulation).

These statutes and regulations impose certain obligations on Suppliers, particularly related to packaging, labeling, and compliance with relevant laws. It is your sole responsibility as a Supplier to ensure that your product packaging complies with these legal requirements. The Company cannot be held responsible for any non-compliance. In case of any harm or loss resulting from a violation of these regulations or other applicable laws, Suppliers are required to indemnify the Company and the Platform.

2. About Listed Products

Suppliers are allowed to list their products for sale on the Application, adhering to the terms outlined in this Agreement and any other contract established with the Company for this purpose. These additional contracts specify the detailed rights and responsibilities of both parties.

When Suppliers list their products on the Platform, they are making a representation and warranty. This representation includes:

Legally Capable: Suppliers assert that they are legally authorized to sell or list these products on the Platform.

No Infringement: They also assert that the listed items do not infringe upon the intellectual property, trade secrets, proprietary rights, or rights of publicity or privacy of any third party. This includes refraining from using any images owned by third parties available on social media platforms without the owner's consent. In case of any breach of these representations, Suppliers and Users acknowledge that the Company is not liable.

USER INFORMATION AND THIRD-PARTY SERVICES

1. Information Collection and Usage

Company gathers different types of information from Users, which can be categorized into non-personal and personal information.

All data related to Users, regardless of its nature, collected, stored, or transmitted via the Platform, is used to facilitate various operations on the Platform. These operations include processes such as registration, order placement, product listing, and payment processing.

For a more detailed insight into this process and how your information is handled, we encourage Users to review the Platform's Privacy Policy. This policy is readily accessible on the Platform.

2. Use of Third-Party Tools

The Company may grant Users access to third-party tools through the Platform. It's important to note that these tools are neither monitored nor controlled by the Company. Users understand and accept that their use of such tools is entirely at their discretion and comes with no warranties, representations, or conditions, and is not endorsed by the Company. Therefore, the Company bears no liability for any issues arising from the use of these optional third-party tools.

When Users choose to utilize these optional tools provided through the Application/Platform, they do so entirely at their own risk and discretion. It is the User's responsibility to be familiar with and agree to the terms and conditions set forth by the relevant third-party provider(s).

Additionally, the Company may introduce new features on the Platform from time to time, which might include the use of new third-party tools and resources. These new features will also be subject to the terms outlined in this Agreement. Any concerns or inquiries regarding third-party tools or websites should be directed to the respective third-party providers.

Maintaining compliance with all relevant food safety and hygiene regulations.

Customer Orders

Customers may place orders for food items listed by suppliers on the Myma Platform. By doing so, customers agree to:

Ensure someone is available to receive or to pick up/takeaway the order during the specified time.

MARKETPLACE PRODUCTS

Myma Platform offers a Dine-In service where suppliers can invite customers to enjoy food in an authentic dining environment. Suppliers are responsible for:

Providing comprehensive details about the dining experience, including location, ambiance, menu offerings, pricing, and reservation policies.

Ensuring compliance with all local health and safety regulations for dine-in services.

Customer Experience

Customers who opt for the Dine-In service provided by suppliers agree to:

Abide by the terms and conditions set by the supplier, including reservation policies, dress codes, and cancellation rules.

Respect the supplier's rules and guidelines regarding seating, service, and conduct during the dining experience.

Harmful or Substandard Services/Products : Customers are encouraged to promptly report any issues with services or products, such as harmful or substandard quality, to the supplier directly. Myma Platform disclaims any liability for any harm or damages resulting from services or products provided by suppliers.

GENERAL PROVISIONS

In all sections mentioned above, Myma Platform serves as a platform for facilitating interactions between customers and suppliers. While Myma Platform strives to ensure a seamless experience, it is not responsible for the quality, safety, or performance of products, services, or experiences offered by suppliers. Any disputes, concerns, or issues arising between customers and suppliers should be addressed directly between the parties involved. Myma Platform disclaims liability for any damages or harm resulting from services or products provided by suppliers.

DAMAGE TO PROPERTY AND HARMFUL ACTIVITIES

Myma Platform disclaims any liability for any damage to property, injuries, or harmful activities that may occur during in-person interactions at the supplier's, customer's, or pickup/drop location. Users, including customers, suppliers, and delivery personnel, are expected to exercise caution, adhere to safety guidelines, and conduct themselves responsibly during such interactions.

In the event of any damage to property, injuries, or harmful activities, Myma Platform shall not be held responsible, and users involved in such incidents shall address any disputes or claims among themselves. Users are encouraged to report any unlawful or harmful activities to the appropriate authorities as necessary.

This provision emphasizes the importance of personal responsibility and encourages users to exercise caution and report any unlawful activities to the appropriate authorities if they occur during in-person interactions. Myma Platform's role is limited to facilitating connections between users and suppliers, and it does not assume liability for incidents that occur outside of its digital platform.

INTELLECTUAL PROPERTY

We either own the intellectual property rights or possess the non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to use the intellectual property within the Myma Platform, including but not limited to the user interface, layout format, order placement process flow, and any associated content.

You acknowledge that Myma Platform is the registered owner of the wordmark 'Myma' and its logo, including but not limited to its variations (IPR). You shall not directly or indirectly challenge or assist others in challenging the validity of Myma Platform's proprietary rights in these registered marks. You also agree not to file any applications for the registration of marks similar to Myma Platform's registered marks, any variations thereof, or any translations or transliterations thereof in another language, in relation to any products/services and in any territory worldwide. If you become aware of any infringement of our intellectual property rights, please report it to [email protected] with all relevant information.

You are permitted to print one copy and download extracts of any page(s) from the Myma Platform for personal reference. You may share materials from the Platform with others within your organization, but you must not modify any printed or digital copies of the materials or use illustrations, photographs, videos, audio sequences, or graphics separately from accompanying text.

Commercial use of any part of the materials on the Platform is not allowed without obtaining a license from us or our licensors. If you breach these Terms of Use by printing, copying, or downloading materials from the Platform, your right to use the Platform will cease immediately, and you must, at our discretion, either return or destroy any copies of the materials you have made.

IP NOTICE AND TAKE DOWN POLICY

Myma Platform has implemented an IP Notice and Take Down Policy ("Take Down Policy") to facilitate intellectual property owners in reporting listings that violate their rights, ensuring the removal of infringing products from the platform. This is crucial to maintain trust among customers and suppliers.

Only the intellectual property rights owner can report potentially infringing products or listings through our Take Down Policy, using the specified format for a Notice of Infringement. If you are not the intellectual property rights owner, you can still assist by contacting the rights owner and encouraging them to get in touch with us.

Please note: Myma Platform does not independently verify whether merchants have the rights or authorization to sell or distribute the products or services listed. However, we are fully committed to promptly addressing listings that infringe upon the intellectual property rights of third parties when reported by an authorized representative of the rights owner.

LEGAL PROCEEDINGS

All claims and disputes arising under or relating to these terms and conditions are to be settled by binding arbitration between the parties. All legal conflicts and matters will have to be submitted in the court of law falling under the Jurisdiction of Pune, Maharashtra, India.

COMPLAINTS

Myma Platform takes complaints very seriously and aims to respond to your complaint as soon as possible. All complaints are to be addressed from the ‘Contact with Myma Platform’ section in the application.

MISCELLANEOUS PROVISIONS APPLICABLE TO THE AGREEMENT

1. Governing Law and Jurisdiction: This Agreement is subject to the laws of India. Any legal actions, suits, or proceedings related to matters arising from this Agreement or the Myma Platform fall under the jurisdiction of the courts in Bangalore, India.

2. Assignment: Myma Platform retains the right to assign its obligations and duties under this Agreement to any individual or entity.

3. Non-Waiver: The failure of Myma Platform to exercise or enforce any right or provision outlined in this Agreement does not constitute a waiver of that right or provision.

4. Location of Platform: The Myma Platform is operated and controlled from India. Myma Platform does not guarantee that the content, information, or materials available on the Platform are suitable for or accessible in other regions. Users who access and use the Platform from outside India do so at their own risk and are responsible for complying with all local laws. By doing so, Users agree to release Myma Platform from any liability or loss arising in this regard.

5. Changes to Platform: Myma Platform reserves the right to introduce new features, functionalities, and components to the Platform. Additionally, Myma Platform may alter, modify, suspend, discontinue, or remove existing features without prior notice. Furthermore, Myma Platform may discontinue one or more Services, either permanently or temporarily, or start charging for Services that were previously free of charge, without prior notice to Users.
